The allegations of the complaint, are, in substance, that one Taylor, while doing business as a retail dealer in books, stationery, etc., being largely indebted to divers persons, executed to the defendant Flower a chattel mortgage upon all his stock, to secure a certain debt to him, with the understanding between them that Taylor should retain possession of the property, and sell and dispose of the same as his own, in the ordinary course of his business, without accounting to Flower for the proceeds, or applying them to-the…
