h The plaintiff, a minority shareholder in a corporation, filed suit against its officers and directors, seeking repayment of bonuses he alleged were disguised dividends. He contends that these payments would have otherwise been owed to him. The defendants filed exceptions of no cause of action and no right of action and argued that the plaintiff did not have a personal cause of action, but that any such claim would be appropriate as a derivative ac tion.
