MEMORANDUM ON DEFENDANT’S MOTION TO DISMISS

I. INTRODUCTION
The matter before the Court is the motion by the defendant, Polar Molecular Corporation (“Polar” or the “Debtor”), to dismiss or, in the alternative, to abstain from hearing the Trustee’s Complaint (the “Motion To Dismiss”). By the Complaint To Recover Estate Funds And For Related Relief (the “Complaint”), Stephen S.
