MEMORANDUM DECISION

Virginia Broadband LLC (“VABB” or “LLC”) is a Virginia limited liability company. It is a manager-managed LLC. Since 2006 its members have clashed between and among themselves and the LLC over fundamental management disagreements, ownership and control battles, and remuneration rights. At present the LLC is a debtor in possession in Chapter 11. The LLC has objected to the claims of one *544of the former members, Warren Manuel, and asks this Court to: 1) disallow Mr. Manuel’s claims (proofs of claim numbers 24, 25, and 26); or 2) equitably…
