In Equity. Bill by G. Searing Wilson against the American) Ice Company and others to compel defendant to declare a dividend on his preferred stock and for ancillary relief. On motion to dismiss the bill for insufficiency of fact appearing on the face thereof.

REIXSTAB, District Judge.

The bill of complaint is filed against the American Ice Company and certain of 'its officers and directors by a minority stockholder, in behalf of himself and such other stockholders who may join therein, and is designed to force such, company to declare a dividend upon its preferred stock. The defendant company moves to dismiss the bill upon the grounds, inter alia, that:

“(1) The bill of complaint does not allege that the defendant corporation and the directors thereof are not authorized by the certificate of incorporation and by-laws of said company to do the things…
