In this action, plaintiffs Winterbrook Properties, Inc. (“Winterbrook”) and Thomas N.T. Mullen, sole stockholder and director of Winterbrook, have sued defendants the Federal Deposit Insurance Company (“FDIC”) as receiver of the Bank of New England, N.A. (the “Bank”) and Lowell Union Properties, Inc. (“LUP”), originally a wholly owned subsidiary of the Bank and now a wholly owned subsidiary of the FDIC.
