The appellant is a corporation organized under the laws of this commonwealth, the constitution and by-laws of which provide, inter alia, article III. section 7: “ The business of the association shall be conducted by a board of six directors, three of whom shall constitute a quorum.. They shall select a chairman and secretary from their own number, and shall report at least once a year at one of the semiannual meetings of the association, and oftener if required.
