MEMORANDUM-DECISION AND ORDER
McCURN, District Judge.
Appellants, American Motors Leasing Corporation and AMC Leasing Corporation (collectively referred to as “AMC”) and the Bank of Utica (“Bank”), appeal from the bankruptcy court’s June 15, 1987 decision 75 B.R. 466. In that decision, Judge Ger-ling reached several conclusions of law, two of which are the subject of this appeal.
