MEMORANDUM OPINION AND ORDER

Before the Court is the Motion to Dismiss by Defendants John Moroni (“Moroni”) and Moroni Auto Sales, Inc. (“Moroni Auto”). For the reasons stated herein, the Motion is granted in part and denied in part.
I. BACKGROUND
