McKENNA, District Judge.
The present litigation was brought by AIG Financial Products Corporation (“AIG-FP” or “plaintiff’) against Public Utility District No. 1 of Snohomish County, Washington (the “District” or “defendant”) alleging breach of contract and seeking declaratory relief. 1 The District has moved this Court to dismiss for lack of personal jurisdiction and improper venue, or in the alternative, to transfer this action to the United States District Court for the Western District of Washington pursuant to 28 U.S.C. § 1404(a).
