MEMORANDUM OF DECISION

Before the court are a Motion to Dismiss this chapter 11 case filed by Merrill Cohen 1 (“Cohen”) and a Motion to Dismiss or Convert the case filed by the United States Trustee (the “UST”). The Debtor opposes the dismissal of the case and in accordance with Section 1112(b)(3) 2 of the Bankruptcy Code, 3 on February 17, 2011, the court held a hearing upon the Motions to Dismiss.
