Plaintiff, a former shareholder of common stock of defendant Elgin National Industries, Inc., instituted this class action suit against defendants for violations of the Securities Act of the State of New York (General Business Law, §§ 339-a, 352-c), common-law fraud and breach of fiduciary duties.
