WOOD, District Judge.

1. Plaintiff is a resident of New York City, New York, and the defendant is a resident of Philadelphia, Pennsylvania. The action is based on contract and the amount in controversy is in excess of the jurisdictional requirement. Therefore, *37the Court has jurisdiction over the subject matter and the parties.
