Transamerica Commercial Finance Corporation and Transamerica Fleet Leasing Corporation (hereinafter together called "Transamerica")1 appeal from a judgment entered by the Montgomery Circuit Court for Union Bank Trust Company.

In 1984, Transamerica executed a "floor plan" agreement with Tom Wright, d/b/a T W Coach Sales. The agreement provided that Transamerica would finance T W's purchase of vehicles for resale in exchange for a security interest in T W's existing and after-acquired collateral.
