Plaintiffs, 46 stock subscribers of Burton’s In The Round, Inc. (hereinafter Burton’s), filed a breach of contract action in the circuit court of Cook County against the defendant escrowees, who had held funds of Burton’s for distribution to rescinding stock subscribers pursuant to an escrow agreement, as amended. The breach of contract action was filed against defendants after the entry of a final decree by the U.S. District Court (N.D.
