McKINLEY, District Judge.
Pacificorp Kentucky Energy Corporation (hereinafter PKEC) and Pacificorp Power Marketing Inc. (hereinafter PPM) (collectively referred to as Pacificorp Entities) appeal from the bankruptcy court’s disallowance of the Pacificorp Entities Proof of Claims numbered 133 and 135. In these claims, the Pacificorp Entities sought to recover its benefit of the bargain under the Omnibus Agreement between PKEC and Big Rivers Electric Corporation (hereinafter Big Rivers) and the costs incurred in undertaking actions that substantially benefitted the estate.
