On December 17,1991, the Court notified the attorneys for both parties in this action that the Court was converting the defendant John Venteau’s motion to dismiss the complaint, pursuant to Fed.R.Civ.P. 12(b)(6), to a motion for summary judgment pursuant to Rule 56.
