This action arose out of a battle for corporate control between the management of Chris-Craft Industries, Inc. (“management”) and a dissident group known as the Independent Stockholders Committee 1 (the “Committee”). Both sides allege that the proxy materials sent by their opponents to Chris-Craft shareholders in connection with the solicitation of proxies for the 1972 Annual Shareholders Meeting, held on January 11, 1972 in Cortland, New York, were violative of Section 14 of the Securities Exchange Act of 1934 (“the Act”), 15 U.S.C. § 78n, and the Rules and…
