MEMORANDUM

BLAKE, District Judge.

Now pending before the court are plaintiffs’ motion to remand and defendants’ motions to dismiss. The motions have been fully briefed and oral argument was held on November 22, 2002. A brief description of the case is as follows.

Defendant Osiris Therapeutics, Inc. (“Osiris”) is a commercial stem cell company established in 1992 that focuses on “cellular therapeutic products for the regeneration and restoration of damaged and diseased tissue.” (Compl. at ¶¶ 1, 27, 30).
