Plaintiffs, purchasers of the securities of Canandaigua Wine Company, Inc. (“Canan-daigua”), have brought suit against Canan-daigua and two of its officers, Richard Sands and Lynn Fetterman, (collectively “Defendants”) asserting securities fraud claims based on §§ 10(b) and 20(a) of the Securities and Exchange Act of 1934, 15 U.S.C. §§ 78j(b), 78t(a), and Rule 10b-5, 17 C.F.R. § 240.10b-5, promulgated thereunder by the Securities and Exchange Commission (“S.E.C.”).
