HICKS, District Judge.
The Campbell County Hardware Company is a domestic corporation. Its charter was granted May 26, 1922. Its purpose was to sell hardware at Jaeksboro. It had the right “to establish by-laws and make all rules and regulations not inconsistent with the laws and the Constitution deemed expedient for the management of its corporate affairs.” The charter further provided that “the term of all officers may be fixed by the by-laws of the corporation, the same, however, not to exceed two years.” It further provided that “the board of directors shall consist of five or more members…
