This is an action at law. Both parties by stipulation in writing waive a jury and submit all the issues to the court.

FINDINGS OF FACT.

The National Express & Transportation Company was a corporation created by an act of the state of Virginia, December 12, 1865. Its capital stock was fixed at $5,000,000, with the privilege of increasing it to $10,000,000. The shares were fixed at $100 each. It could commence business when one-third of its shares were subscribed for, and *11§100,000 paid thereon. No special provision is made in the charter for the time and mode of paying subscriptions.
