NatWest Finance Inc., NatWest Capital Markets Limited and National Westminster Bank (collectively “defendants” or “NatWest”) now move for entry of partial summary judgment dismissing Count III of plaintiffs Amended Complaint. 1 Count III asserts state common law claims of fraud, conspiracy to commit fraud, and aiding and abetting fraud. Defendants contend that these claims have been preempted by the National Securities Markets Improvement Act of 1996 (“NSMIA”), Pub.L.
