BIGGERS, District Judge.
These causes come before the court upon the defendants’ motions to dismiss and supplemental motions to dismiss. Upon due consideration of the parties’ memoranda and responses thereto, the court is ready to rule.
FACTS
The plaintiffs, Lofton, Lamb and Lee, are three of the four original shareholders of Phoenix Corporation, a Mississippi corporation, which is primarily in the business of converting aircraft according to various engine applications. 1 Phoenix also designs and develops said applications.
