McGuire, Theodore A. Schmidt and Max Levy became shareholders in C.L. McGuire & Co., Inc., pursuant to an agreement apparently drafted by the law firm of Lindenaur and Rosiny. Edward Rosiny, the plaintiffs’ father, was a member of that firm. C.L. McGuire & Co. operated an automobile repair business in a building located at 14-16 West End Avenue in Manhattan ("the premises”). In 1957, an opportunity arose to purchase the premises, and Ched Realty was formed for that purpose.
