This is an appeal by Sharon Steel Corp. (“Sharon”) and UV Industries, Inc. (“UV”), *1042trustees of the UV Liquidating Trust (collectively the “UV Defendants”) from grants of a directed verdict and summary judgment by the United States District Court for the Southern District of New York (Henry F. Werker, Judge) in favor of the Trustees of certain UV indentures (“Indenture Trustees”) and intervening holders of debentures issued pursuant to certain of those indentures (“Debentureholders”).
