LOKEN, Circuit Judge.

Construction 70, Inc., contracted to build an Applebee’s restaurant in Cambridge, Minnesota, promising to “promptly pay each Subcontractor, upon receipt of payment from the Owner ... the amount to which said Subcontractor is entitled.” In building the restaurant, Reshetar Systems, Inc., became the Subcontractor for carpentry and drywall work. The subcontract provided that Reshetar would be paid for its work “upon receipt [by Construction 70] of payment by Owner.” Reshetar satisfactorily completed its work in January 2004 but was not paid $48,293.81 of the amount owed.…
