MlKELL, Judge.

Shorter College in Rome (“the college”) and the Baptist Convention of the State of Georgia (“GBC”) are embroiled in a dispute over governance of the college. Many claims have been raised which remain for resolution by the trial court. This appeal is from the grant of summary judgment to the college on the GBC’s request to enjoin the college from dissolving without the GBC’s approval. For the reasons set forth below, we reverse for the entry of summary judgment in favor of the GBC and remand for the trial court to set aside the dissolution.
