LEGG, District Judge.

This case concerns a contractual agreement among three insurance companies: plaintiff St. Paul Fire & Marine Insurance Co. (“St. Paul”), defendant Royal Insurance Company of America (“Royal”), and an entity calling itself the “Zurich-American Insurance Group” (“Zurich”). In the agreement, the insurers contracted to split the costs of defending their mutual insured, Croker, Inc., 1 in asbestos bodily-injury litigation.
