This is an appeal from an order of the United States District Court for the Eastern District of Pennsylvania dismissing with prejudice under Federal Rules of Civil Procedure 12(b)(1) and 12(b) (6) 1 a complaint under the Declar atory Judgment Act, 28 U.S.C. §§ 2201-2202, by Travelers Insurance Company (“Travelers”) against Marjorie Davis, Paul Davis and Morris Solomon, the Executors of the Estate of Edward P.
