This is an action brought by the Insurance Commissioner of Puerto Rico (“Commissioner)”, in his capacity as Administrator-Liquidator of Guaranty Insurance Company (“Guaranty”), against Citibank, N.A. (“Citibank”), for the payment of a Certificate of Deposit (“CD”) originally purchased by Guaranty from Girod Trust. The Federal Deposit Insurance Corporation (“FDIC”), which was appointed as receiver of Girod *932Trust and was responsible for transferring the CD to Citibank, intervened in the suit.
