This cause was tried to the Court on September 25 and 26, 1991. In accordance with *1472Federal Rule of Civil Procedure 52, and having considered the testimony and evidence adduced, the arguments of counsel, and all memoranda of law submitted by the parties, the Court now issues the following opinion as its findings of fact and conclusions of law.
