MEMORANDUM, OPINION & ORDER
ROBERT E. GINSBERG, Bankruptcy Judge.
This matter comes before the Court on the Court’s order of April 20,1988 under 11 U.S.C. § 329 and Bankruptcy Rule 2017 requiring Winston & Strawn (“W & S”), counsel for Burnside Steel, the debtor in this case, to show cause why it should not be required to return the $35,000 prepetition retainer it received from the debtor before filing a Chapter 11 case which ultimately failed.
