MEMORANDUM OPINION

DECKER, District Judge.

This is a diversity action brought by a surety company, Hartford Accident & Indemnity Company (“Hartford”), against Yankee Plastics, Inc. (“Yankee”), Edward Lisky, also known as Michael Raymond, and Robert Dell. Defendants Lisky and Dell are alleged to have pledged certain unauthorized certificates of stock in defendant Yankee as collateral for loans made to them by Citizens National Bank of Chicago (“Citizens”).
