This case involves the Overbrook Property Owners' Association (OPOA), a nonprofit corporation located in North Little Rock. A segment of OPOA’s membership led by Thomas Ahart and hereafter referred to as “Ahart” or the “Ahart members,” attempted unsuccessfully to oust the Association’s entire board of directors at an annual meeting. The Association was organized and incorporated under the Arkansas Nonprofit Corporation Act, Ark. Code Ann. §§ 4-28-201-224 (Repl. 1996).
