MEMORANDUM OPINION AND ORDER
SACHS, District Judge.
This case arose out of the events which occurred when the individual plaintiffs, Vernon Lee Wells and Robert K. Hughes, traveled to San Francisco, California in July of 1976 for a convention of the National Office Machine Dealers Association (NOMDA). At that time, Wells owned 51% and Hughes 29% of the stock of the corporate plaintiff, Central Office Machines.
