In this diversity action, plaintiffs are certain named underwriters trading under the name of Lloyds of London. They seek to rescind two insurance policies providing coverage for defendants, the Penn Central Company, its officers and directors. This action is based on alleged false statements and omissions in defendants’ application for insurance.
