These matters have come before me by way of a convoluted history, litigated over the past six years, involving two prior bankruptcy judges and a District Judge. History
In about September 1995, John Lombar-dozzi (hereinafter “Lombardozzi”) 1 purchased all the stock of RJC Industries, Inc. (hereinafter “RJC” or “Debtor”) from John Chapel for $100,000.
