In July, 1983, defendants James C. Welch and Sandra Welch executed a $150,-000 promissory note to plaintiff Finalco Equipment Investors X, (Finalco Equipment), in connection with defendants’ purchase into Finalco Equipment, a limited partnership. Finalco Equipment brought this diversity action, seeking judgment on the note, alleging that defendants had defaulted.
