FINDINGS OF FACT AND CONCLUSIONS OF LAW

Telenor Mobile Communications AS (“Telenor”), a Norwegian telecommunications company, and Storm LLC (“Storm”), a company organized under the laws of Ukraine, jointly own Kyivstar G. S.M. (“Kyivstar”), a Ukrainian telecommunications venture. Telenor and Storm had a dispute over, inter alia, the validity and effect of a 2004 shareholders’ agreement related to the corporate governance and management of Kyivstar (the “Shareholders Agreement” or “Agreement”).
