TJOFLAT, Circuit Judge:
Westcap, a Texas corporation (known as Hibbard & O’Connor Government Securities, Inc. when this litigation commenced), sued Homestead Air Force Base Federal Credit Union (the “Credit Union”) and its officers and directors in the district court alleging federal securities law violations, breach of contract, and common law fraud and deceit. 1 The material facts were not disputed, and both sides moved for summary judgment.
