Appellee Marilyn Bollinger was the principal shareholder and chief executive officer of Little People’s Workshop, Ltd. (“Old Company”), now known as appellee Bollinger, Inc. Old Company, which marketed and sold early childhood education curricula, was started in 1972 by Bollinger’s mother. As a result of cash flow problems, in 1991 Bollinger engaged LaRue Simpson of McDonald & Co. to seek investors for Old Company. Through Simpson, Bollinger met appellant Manuel D.
