Hamilton Steel Products, Inc. (“Hamilton”) was an Illinois corporation organized in 1933, with its principal place of business in Chicago, Illinois. It was a manufacturer of garden equipment and children’s toys.
On July 8, 1960, M.J.D.M. Truck Rentals, Inc. (“MJDM”), a Pennsylvania corporation with its principal place of business in Glen Mills, Pennsylvania, filed a District Court breach of contract suit against Hamilton, seeking damages for rental of tractors and trailers by MJDM to Hamilton.
