MEMORANDUM OPINION

MARTIN V. B. BOSTETTER, Bankruptcy Judge.

Howard K. Askew and Charles T. Brigham (hereinafter defendants) seek payment of claims allegedly owed to them by Adams Laboratories, Inc., debtor-in-possession (hereinafter Adams), as set forth in defendants’ Answer and Counterclaim filed with the Court on June 2, 1978.1 Adams objects *505to defendants’ Counterclaim and avers several offsets to said Counterclaim.
