O’TOOLE, District Judge.
This opinion resolves three motions pending before the Court: the defendants’ motion to dismiss the original complaint (Dkt. No. 20), the plaintiffs motion to amend the complaint (Dkt. No. 35), and the defendants’ motion to dismiss the new counts added by the amended complaint (Dkt. No. 46).
