John Glisson and Robert Coker began working together in 1996. In July 1999, they incorporated Glisson Coker, Inc. (hereinafter “GCI”). GCI was engaged in the business of representing manufacturers as their sales representatives in the southeastern part of the United States. GCI was a statutory close corporation.
