This case is before the Court on Financial Security Assurance, Inc.’s appeal of the October 10, 1993 Order of the Bankruptcy Court, 162 B.R. 26. Jurisdiction is proper pursuant to 28 U.S.C. § 158(a).

I. STATEMENT OF FACTS AND PROCEDURAL HISTORY

In February 1989, Tollman-Hundley Dalton, L.P. (“THD”), which owned and operated a Holiday Inn in Dalton, Georgia (“Hotel”), borrowed $10,151,088.00 to refinance an existing loan on the Hotel.
